Independent Member

Mr. Brown served as chairman and CEO of the Ontario Securities Commission from April 1998 to June 2005. He is the founding chair of the Council of Governors for the Canadian Public Accountability Board, a national body that oversees the audits of Canadian publicly-listed companies, and is a standing member of the Audit and Assurances Standards Oversight Council, a body formed by the Canadian Institute of Chartered Accountants to oversee the setting of Canadian auditing standards. Internationally, Mr. Brown is a past chair of the Technical Committee and a member of the Executive Committee of the International Organization of Securities Commission.

Mr. Gunn is a co-founder and current chairman and CEO of Sleep Country Canada . He also co-founded and served as president of Kendrick Capital, a merchant-banking firm, and served as a management consultant with McKinsey & Company from 1981 to 1987.

Mr. Inkster is president of the Inkster Group and a former commissioner of the Royal Canadian Mounted Police. Prior to founding the Inkster Group, he was the global managing partner for the international forensics practice of a major accounting firm. Mr. Inkster also served as the President of Interpol from 1992 to 1994.

Mr. Minzberg is a partner with Davies Ward Phillips & Vinberg, specializing in corporate, commercial and tax law. From January 1998 to December 2002, he served as president and CEO of Claridge Inc., a management and holding company that acts on behalf of the Charles R. Bronfman Family. Mr. Minzberg is currently a Director of Reitmans (Canada) Limited, HSBC Bank Canada, HSBC North America Inc., Quebecor Media Inc., and of MSBI Inc., a Canadian venture capital fund that provides financing and management support for early-stage technologies.
